What do APTA Directors do?
The APTA Board of Directors is the governing body of the Association. The board provides the policy decisions and guidance that governs APTA’s strategic activities. Among the topics the board has recently addressed are passage of an authorization bill, continuous review of APTA’s strategic plan, defining the future of federal public transportation funding, assuring tomorrow’s quality work force, and strengthening and building APTA’s coalitions and partnerships to accomplish the industry’s goals.
The APTA Board of Directors meets approximately four times per year, typically:
- The Saturday prior to the start of the APTA Annual Meeting (usually, early October) in the Annual Meeting city. This is an in-person meeting. New board members attend an orientation that morning.
- Early December in Washington, DC. This is a in-person meeting with an option for APTA board members to attend virtually via phone and internet connections.
- The Saturday prior to the start of the APTA Legislative Conference (usually mid-March), in Washington, DC. This is an in-person meeting.
- Late July. This is a virtual meeting.
The APTA bylaws strongly encourage all board members to prepare for, attend, and participate fully in all board meetings, stating “To ensure the actions of the board of directors reflect the consensus of APTA members and are fully informed by the unique knowledge and experience of individual directors, members of the board of directors are expected to regularly attend both in person and electronic meetings of the board of directors.” The full text of the bylaws provisions related to the APTA Board of Directors is at Article VIII.
Because service on the APTA board requires a commitment of time and travel at least twice per year, nominees other than chief executive officers or policy board members are required to include an acknowledgement from their agencies or companies that the nominee can be available to serve on the APTA board and that the nominee will have sufficient financial resources to travel to board meetings. APTA cannot pay travel costs for board members to attend meetings.
What does the Executive Committee do?
The executive committee acts on behalf of the APTA Board of Directors whenever the full board is not in session. In addition to serving as board members, the members of the executive committee are responsible for the general oversight and guidance of the Association’s business and staff, including approval of the annual business plan and budget, consistent with direction provided by the board. The executive committee acts as the board’s planning body, selecting and referring major strategic and policy issues to the board and acting on issues that do not require the attention of the full board.
In addition to the meetings of the APTA Board of Directors, the Executive Committee meets approximately four times per year, typically:
- A three day retreat in mid-November, at a location selected by the APTA Chair. This is an in-person meeting. Unlike other board and executive committee meetings, APTA pays travel costs associated with attendance at the executive committee retreat.
- Mid-September, in conjunction with the Association’s Annual Business Meeting and Election of Officers in Washington, DC. This is an in-person meeting with an option for executive committee members to attend virtually via phone and internet connections.
- January or February. This is a virtual meeting.
- May or June, a Saturday before the APTA bus or rail conference (alternates each year) in the conference city. This is an in-person meeting.
Like other board members, executive committee members are strongly encouraged to prepare for, attend, and participate fully in all board and executive committee meetings. The full text of the bylaws provisions related to the APTA Board of Directors is at Article IX.
Because service on the executive requires a commitment of time and travel at least five times per year, nominees other than chief executive officers or policy board members are required to include an acknowledgement from their agencies or companies that the nominee can be available to serve on the APTA Executive Committee and that the nominee will have sufficient financial resources to travel to meetings. APTA cannot pay travel costs for executive committee members to attend meetings (except for the retreat noted above).
